Vendor Rules and Agreement

1. Agreement & Vendor Approval

This Agreement governs participation as a vendor at the NC Canna Festival.

It becomes binding when a vendor electronically accepts or signs the Agreement, pays or authorizes the vendor fee, accepts an approved vendor offer, or sets up and operates at the Festival.

Submitting an application does not guarantee acceptance. Vendor participation is confirmed only after NC Canna Market approves the application, confirms the vendor category and space, receives required agreement acceptance, and receives payment or approves another written arrangement.

NC Canna Market may deny or withdraw approval based on space, product category, duplication, safety, compliance history, event fit, prior conduct, or inaccurate or incomplete application information.

2. Vendor Fees

Unless otherwise stated in an approved written offer or invoice:

• Cannabis/Hemp Vendor: $500
• Non-Cannabis Vendor: $150

Approved discounts, promotional pricing, sponsorship credits, or negotiated arrangements must be confirmed in writing.

A non-cannabis vendor may not add cannabinoid products without prior written approval and payment of any applicable fee difference.

3. Vendor Space

A standard vendor space is approximately 10' × 10'.

The vendor fee reserves the space only.

Vendors are responsible for providing their own:

• Canopy or tent
• Tables and chairs
• Displays and signage
• Lighting
• Extension cords
• Storage
• Refrigeration
• Internet
• Other booth equipment

Electricity, larger spaces, special placement, and other accommodations are not included unless approved in writing and may require an additional fee.

4. Outdoor Event & Booth Safety

Vendor spaces are outdoors. Vendors should prepare for rain, wind, heat, sun, mud, insects, uneven terrain, changing temperatures, and reduced evening lighting.

Canopies, tents, signs, racks, banners, and displays must be properly secured or weighted and kept completely within the assigned space.

Vendors may not block walkways, neighboring booths, accessible routes, fire lanes, or emergency access.

NC Canna Market may require unsafe equipment to be secured, lowered, disconnected, relocated, or removed.

Ordinary outdoor conditions do not automatically qualify a vendor for a refund.

5. Setup, Operation & Breakdown

Final setup, parking, check-in, unloading, and breakdown instructions will be provided before the Festival.

Vendors must:

• Arrive during the assigned setup period
• Check in before operating
• Follow vehicle and unloading instructions
• Be fully set up before opening
• Keep vehicles outside restricted event areas during public hours
• Remain operational during required vending hours
• Avoid early breakdown unless approved

Late arrival, early departure, or failure to follow event instructions may affect eligibility for future NC Canna Market events.

6. Booth Placement

NC Canna Market determines vendor placement.

Placement requests may be considered but are not guaranteed.

Booths may be relocated because of safety, weather, venue requirements, traffic flow, accessibility, product category, equipment needs, sponsorship obligations, or other operational requirements.

No vendor is guaranteed exclusivity, a specific location, a particular traffic level, or separation from competing vendors.

7. Vendor Personnel & Credentials

Vendors are responsible for all owners, employees, contractors, representatives, and other personnel working within their booth.

Vendor credentials may not be sold, copied, or transferred to unauthorized individuals.

Vendor credentials do not automatically provide VIP, camping, backstage, or other restricted access.

Anyone handling cannabinoid products, distributing cannabinoid samples, or issuing 21+ wristbands must be at least 21 years old.

8. Legal & Product Compliance

Vendors are responsible for complying with all applicable federal, North Carolina, local, venue, tax, licensing, food-safety, labeling, employment, fire, electrical, and product requirements.

Festival approval does not constitute legal advice or confirmation that a product is lawful.

Vendors may only display, promote, sell, sample, or distribute lawful products.

Prohibited products include:

• Illegal controlled substances
• Adulterated or contaminated products
• Counterfeit or stolen products
• Products with undisclosed ingredients
• Materially misleading products or labels
• Unlawful synthetic substances
• Products that infringe another party's rights
• Products determined by Festival staff to present a legal or serious safety concern

NC Canna Market may require any questionable or noncompliant product to be removed.

9. Approved Products Only

Vendors may only sell or display the product categories disclosed in their approved application.

Written approval is required before adding materially different products or activities, including:

• Cannabinoid products
• Infused food or beverages
• Prepared food
• Open-flame demonstrations
• Heated equipment
• Tattooing or piercing
• Medical or wellness services
• Live animals
• Other substantially different activities

10. Cannabinoid Products, COAs & Labeling

Cannabinoid and hemp vendors must maintain reasonably current Certificates of Analysis for products offered at the Festival.

COAs must:

• Match the applicable product or batch
• Be available digitally or in print
• Be available to NC Canna Market upon request
• Be reasonably available to customers
• Support represented cannabinoid content and legal status

Cannabinoid products must be accurately labeled as applicable with product identity, ingredients, cannabinoid content, serving information, allergens, batch or lot information, responsible business information, warnings, storage information, and access to the applicable COA.

Vendors may not make unlawful disease-treatment, cure, or medical claims.

Products without adequate documentation or labeling may be removed from sale or sampling.

11. Age Verification & 21+ Wristbands

Only attendees who are 21+ with a valid Festival wristband may purchase, receive, sample, possess, smoke, vape, dab, or consume cannabinoid products at the Festival.

Vendors must refuse service when:

• A valid 21+ wristband is not present
• The wristband appears altered, transferred, or invalid
• Age cannot be reasonably verified
• The attendee appears excessively impaired
• The transaction creates a safety or compliance concern

Festival wristbands do not prevent a vendor from requesting identification again.

Authorized vendors issuing 21+ wristbands must personally inspect a valid, unexpired government-issued photo ID, confirm the person's identity and age, and secure the wristband directly to that person's wrist.

Loose wristbands may never be handed out.

Improper wristband distribution may result in immediate loss of wristband privileges or removal from the Festival.

12. Sampling & Serving Limits

Cannabinoid samples may only be distributed from an approved booth or activity area and only to attendees who are 21+ with a valid wristband.

Samples may not be:

• Left unattended
• Offered through unsupervised self-service
• Given to anyone under 21
• Given to an excessively impaired attendee
• Accessible to children
• Distributed without reasonably available potency information

Sampling areas and equipment must remain clean and sanitary.

Unless a lower limit applies, individual on-site servings may not exceed:

• 10 mg Delta-9 THC per serving
• 50 mg total cannabinoids per serving

Beverage servings or samples may not exceed 10 mg Delta-9 THC per serving.

Vendors may not intentionally divide or repeatedly provide servings to avoid these limits.

13. Smoking, Vaping, Dabbing & Consumption

Attendees who are 21+ with a valid wristband may smoke, vape, dab, or otherwise consume lawful cannabinoid products outdoors on the Festival property where permitted.

Smoking, vaping, dabbing, sampling, and cannabinoid consumption are prohibited:

• Inside buildings or enclosed indoor spaces
• Within the playground or Children's Play Area
• In any temporarily restricted area identified by Festival or venue staff

Temporary restrictions may be imposed because of weather, fire risk, crowding, emergencies, or venue requirements.

14. Food & Beverage Vendors

Food and beverage vendors are responsible for all required permits, food-safety practices, sanitation, allergen information, temperature control, handwashing, inspections, and applicable health requirements.

Infused food and beverage vendors must also comply with all cannabinoid, age-verification, sampling, labeling, and serving-limit requirements.

15. Sales, Conduct & Booth Operations

Each vendor is independently responsible for:

• Pricing
• Payment collection
• Sales tax
• Receipts
• Customer service
• Returns and exchanges
• Chargebacks
• Product complaints
• Cash and inventory security

NC Canna Market does not guarantee attendance, sales, revenue, profitability, or customer traffic.

Vendors and personnel must behave professionally, keep their booth clean and attended, remain within the assigned space, follow staff instructions, and avoid aggressive sales tactics or disruptive conduct.

Harassment, threats, fighting, discrimination, excessive impairment, unsafe behavior, or serious disruption may result in removal.

16. Prohibited Vendor Activities

Unless specifically approved in writing, vendors may not:

• Sublease or share their booth
• Transfer approval to another business
• Operate outside the assigned footprint
• Use unauthorized generators
• Use unsafe flames, torches, or heated equipment
• Operate drones
• Sell outside alcohol
• Conduct unauthorized gambling or raffles
• Promote an unapproved business from the booth
• Perform medical procedures
• Make unlawful medical claims
• Attach equipment or signage to venue property
• Use NC Canna Market or Festival branding as their own
• Conduct activities materially different from their approved application

17. Power, Fire, Security & Cleanup

Electricity is not included unless confirmed in writing.

Approved electrical equipment must be outdoor-rated, grounded, protected from foot traffic and weather, and operated safely.

Vendors must keep fire lanes, exits, accessible routes, and emergency access clear.

Private fireworks, explosives, and unattended flames are prohibited.

Vendors are responsible for securing their cash, inventory, equipment, samples, cannabinoid products, wristbands, and personal belongings.

Vendors must leave their booth area clean and remove all booth-generated trash and materials.

Vendors are responsible for damage caused by their staff, products, equipment, animals, vehicles, or operations.

18. Insurance, Liability & Assumption of Risk

Vendors are responsible for maintaining insurance required by law and coverage reasonably appropriate for their products and activities.

NC Canna Market may require proof of general liability, product liability, automobile, workers' compensation, or other applicable insurance.

To the fullest extent permitted by law, the vendor agrees to defend, indemnify, and hold harmless GKD Supply LLC, NC Canna Market, NC Canna Festival, Altadore Investments LLC, The Plant, and their owners, officers, members, employees, agents, volunteers, and authorized representatives from third-party claims, damages, losses, penalties, liabilities, and reasonable expenses arising from the vendor's products, services, personnel, violations, negligence, representations, or breach of this Agreement.

This does not apply to liability finally determined to result solely from the protected party's gross negligence or intentional misconduct.

Vendors voluntarily accept the ordinary risks associated with participating in an outdoor public event, including weather, crowds, uneven terrain, smoke, theft, equipment damage, schedule changes, and interactions with attendees and other vendors.

19. Photography & Festival Branding

Photography and video recording may occur throughout the Festival.

Vendors grant NC Canna Market permission to photograph or record their booth, signage, products, and personnel for lawful event documentation and promotion.

This does not transfer ownership of the vendor's trademarks or original intellectual property.

Approved vendors may identify themselves as participating Festival vendors but may not falsely imply ownership, endorsement, sponsorship, or authorization beyond what has actually been approved.

20. Vendor Cancellation

Vendor fees are generally nonrefundable.

A vendor unable to attend may submit a written cancellation request before the Festival.

When approved, the paid vendor fee may be transferred one time as a credit toward another eligible NC Canna Market event occurring within 12 months.

Future-event credit is subject to:

• Space availability
• Approval for the new event
• Payment of any price difference
• Continued compliance with vendor requirements
• Written confirmation from NC Canna Market

No-shows and vendors removed for violations are not eligible for transfer credit.

Credits have no cash value and may not be transferred to another business.

21. Event Cancellation or Rescheduling

If the Festival is rescheduled, the vendor payment will automatically transfer to the new date.

If NC Canna Market cancels the Festival and does not reschedule it, the vendor may receive either:

• A refund of the booth fee paid, less any processing fees retained by an independent payment processor; or
• Credit toward a future NC Canna Market event

NC Canna Market is not responsible for travel, lodging, staffing, equipment rental, inventory, lost sales, projected profit, or other vendor expenses.

Rain, ordinary weather changes, schedule changes, attendance levels, or relocation within the Festival property do not automatically qualify a vendor for a refund.

22. Removal From the Festival

NC Canna Market may immediately suspend or terminate vendor participation for serious or repeated violations, including:

• Illegal products or conduct
• Providing cannabinoid products to anyone under 21
• Improper wristband distribution
• Missing or unverifiable COAs
• Unsafe sampling or food handling
• Harassment, violence, or threats
• Excessive impairment
• Material misrepresentation
• Unauthorized products or booth sharing
• Refusal to follow safety instructions
• Property damage
• Other serious violations of Festival or venue requirements

A vendor removed for a violation forfeits its vendor fee and any future-event credit.

23. Independent Business Relationship

Vendors operate as independent businesses.

Nothing in this Agreement creates an employment relationship, partnership, joint venture, franchise, agency, or exclusive relationship between the vendor and GKD Supply LLC or NC Canna Market.

Vendors may not make commitments or representations on behalf of NC Canna Market.

24. Governing Law & Complete Agreement

This Agreement is governed by North Carolina law.

Any dispute not resolved informally will be handled in a court of competent jurisdiction serving Chatham County, North Carolina, unless applicable law requires otherwise.

This Agreement, the approved vendor application, invoice, booth confirmation, vendor packet, and incorporated Festival policies form the complete agreement concerning vendor participation.

A written invoice or approved offer controls over the standard pricing stated here. A category-specific written addendum controls where it directly conflicts with a general provision.

25. Electronic Acceptance

Electronic acceptance, electronic signature, payment, or other approved digital acknowledgment is intended to have the same effect as a handwritten signature.

The individual accepting this Agreement represents that they are authorized to bind the vendor business.
